1. Definitions

Throughout this document, the following terms have these meanings:

  • "Agreement" — these Terms and Conditions in full.
  • "We / Us / Our" — Ondrava, a consulting practice based in Petaling Jaya, Selangor, Malaysia.
  • "You / User" — any individual or entity accessing our website or engaging our services.
  • "Services" — the consulting engagements described on our website, including the Workflow Tune-Up Session, Team Productivity Programme, and Operations Habits Advisory.
  • "Content" — all text, documents, templates, and materials produced by us during an engagement.

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

3. Service Description

Ondrava provides business consulting services focused on workflow review, team planning habits, and operations practice improvement. Our services are available to organisations based in Malaysia. We do not provide legal, financial, medical, or licensed professional advice of any kind.

All services are delivered as described on our website. Scope, duration, and deliverables for each engagement are confirmed in writing before work begins.

4. Engagement and Scope

Each consulting engagement begins with a written scope confirmation. No work commences until both parties have agreed to the scope in writing. Any change to the agreed scope requires written agreement from both parties before additional work proceeds.

5. Payment Terms

Fees are as published on our website in Malaysian Ringgit (RM). Payment terms for each engagement are agreed in writing before work begins. Fees are payable as invoiced. We reserve the right to pause work if payment is overdue by more than 14 days.

6. User Responsibilities

You agree to:

  • Provide accurate and honest information relevant to the engagement
  • Make available the time, access, and team members agreed in the scope
  • Not misrepresent the outputs of our work as your own independently-produced materials to third parties without attribution
  • Use this website only for lawful purposes

7. Intellectual Property

All content, templates, method outlines, and documents produced by Ondrava during an engagement are provided for your organisation's internal use. You may adapt and use them freely within your organisation. You may not commercially resell or redistribute them as consulting materials without our written consent.

The Ondrava name, website content, and branding remain the property of Ondrava.

8. Confidentiality

Both parties agree to treat information shared during an engagement as confidential. We will not disclose your operational details to third parties. You agree not to disclose our proprietary methods or deliverables to competitors or publish them externally without our consent.

9. Disclaimers

Our consulting services are provided in good faith based on the information available to us. We do not make commitments regarding specific business outcomes, performance improvements, or financial results. Our recommendations are advisory in nature and your team's adoption of them is at your discretion.

This website is provided "as is". We make no commitments that it will be available without interruption or error.

10. Limitation of Liability

To the extent permitted by Malaysian law, our total liability to you in connection with any engagement shall not exceed the fees paid for that engagement. We are not liable for indirect, consequential, or loss-of-profit damages.

11. Termination

Either party may terminate an engagement in writing with seven days' notice. You remain responsible for fees for work completed up to the date of termination. We will provide all deliverables produced to that point.

12. Governing Law and Disputes

This Agreement is governed by the laws of Malaysia. Any disputes shall first be addressed through informal negotiation. If unresolved within 30 days, disputes shall be referred to mediation under the Asian International Arbitration Centre (AIAC) rules, or to the courts of Malaysia.

13. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of our website or services after changes are published constitutes acceptance.
